Independent oversight
The Board of Directors oversees charitable purpose, strategy, finances, compliance, and conflicts of interest.

Arm’s-length transactions
Any related-party collaboration must be fair, reasonable, at fair-market value, and approved by disinterested directors.

No improper private benefit
Institute resources must advance exempt charitable, educational, and scientific purposes.
